Who we are

STOODIOOS Web is a website subscription from STOODIOOS ("we", "us"). These terms cover your plan, your site and your client portal. By starting a plan, you agree to them.

What is included

Every plan covers design, development, hosting, SSL, backups, SEO basics, a kickoff call, your client portal and a set number of edits each month. The exact pages, features and edits for your plan are the ones listed on the pricing page when you sign up. Add-ons cover what their description says.

Your first year and after

• Your plan starts on launch day and runs for 12 months. After that, it continues month to month.
• Before launch, you can cancel at any time and pay nothing.
• After the first 12 months, you can cancel at any time with 30 days' notice.
• If you end your plan during the first 12 months after launch, the remaining monthly payments for that first year are still due.

Payment

• Nothing is charged when you sign up. Your card is saved securely with Stripe, your first payment is taken on launch day, and then every month on the same date.
• Prices are in US dollars and do not include taxes where they apply.
• If a payment fails, we let you know and try again. If it is still unpaid after 14 days, we may pause edits and take your site offline until it is settled.
• Upgrades and new add-ons start right away. Downgrades and removed add-ons start from your next billing date.

Edits

• An edit is anything you would ask a designer for: new copy, photos, hours, a section or a page. Send them from your portal.
• We deliver edits within 2 business days. A bigger request may count as more than one edit, and we tell you before we start.
• Before launch, changes are part of your build and do not use edits.
• Edits reset on the 1st of every month. Unused edits do not carry over.

Your content and your site

• Your domain, your content and your brand are always yours. You give us permission to use them to build and run your site.
• You confirm you have the rights to everything you send us, like logos, photos and text.
• During your first 12 months, the design, code and setup of your site are licensed to you for as long as your plan is active.
• After your first 12 months, the site is yours. If you leave after that, we hand over your site files and help you move it.
• We may show your site in our portfolio unless you ask us not to.

Costs from other providers

Domain registration, your Shopify subscription and payment fees on the Store plan, and any paid apps, fonts or images you choose are billed by those providers, not by us, unless we agree otherwise in writing.

Hosting

We host your site with established providers and watch it closely, but no one can promise a site will never go down. We keep backups and fix problems as fast as we can.

Your account

Keep your login private. You are responsible for what happens under your account. Tell us right away if you think someone else has access.

Ending a plan

• When a plan ends, your site goes offline at the end of the paid period, unless we have agreed on a handover.
• We may end a plan if payments stay unpaid, or if a site is used for anything illegal or harmful.

Liability

We do our best work, but the service is provided as is. As far as the law allows, we are not liable for indirect or consequential losses, like lost profits, and our total liability is limited to what you paid us in the 3 months before the claim.

Changes and law

If we change these terms, we email you at least 30 days before the change takes effect. These terms are governed by the laws of the State of New York.
